Terms of Service
These Terms of Service ("Terms") govern your access to and use of the NMAO platform and related services (collectively, the "Service") operated by NMAO Inc. ("NMAO," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, please do not use the Service.
About NMAO and the Service
NMAO provides software-as-a-service tools to martial arts schools ("Schools") for managing memberships, classes, attendance, payments, communications, and related operations. The Service is multi-tenant: individual Schools subscribe to NMAO and use the platform to operate their businesses. Students, parents, guardians, and other end users ("End Users") access NMAO-powered interfaces—such as enrollment forms, member portals, and check-in kiosks—to interact with the School they are affiliated with.
Schools are independent businesses. NMAO does not own, operate, employ instructors at, or insure any School. NMAO does not endorse, supervise, or assume responsibility for the conduct, instruction, safety, or business practices of any School. Your relationship for in-person services, training, and any physical activity is solely with the School you attend.
Eligibility
You must be at least 18 years of age to register an NMAO account in your own name. End Users who are minors may use NMAO-powered interfaces only with the consent and supervision of a parent or legal guardian who has agreed to these Terms on their behalf. Schools are responsible for verifying the eligibility and age of their members, including obtaining parental consent for minors prior to onboarding.
Account Registration and Security
You agree to provide accurate, current, and complete information when registering for an account, and to keep that information up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at support@nmao.us if you suspect unauthorized access.
Schools Using NMAO
Schools that subscribe to NMAO enter into a separate subscription agreement with us covering their use of the platform as a business operator. End Users interacting with a School via NMAO-powered interfaces are subject to both these Terms and the policies of the School they are affiliated with. In the event of a conflict between these Terms and a School's separate policies, these Terms govern your use of the NMAO platform; the School's policies govern your in-person relationship with that School.
Acceptable Use
You agree not to:
- Use the Service for any unlawful, fraudulent, or harmful purpose;
- Attempt to gain unauthorized access to other accounts, Schools, or NMAO systems;
- Reverse engineer, decompile, scrape, or copy substantial portions of the Service;
- Interfere with or disrupt the Service or the networks connected to it;
- Impersonate any person or entity, or misrepresent your affiliation with a School;
- Upload viruses, malicious code, or content that infringes the rights of others;
- Use the Service to harass, abuse, or threaten any other user;
- Resell, sublicense, or commercially exploit the Service except as expressly permitted.
Payments and Refunds
Payments for memberships, class packs, retail purchases, and other goods or services offered by a School through NMAO are processed by Stripe, Inc. ("Stripe"). NMAO does not store full payment card details; Stripe handles all card data in accordance with PCI-DSS requirements. By providing payment information, you authorize the School and NMAO to charge your selected payment method for the agreed amounts.
Pricing for memberships, sessions, packs, and retail items is set by each individual School and may vary. Refund, cancellation, and dispute policies are determined and administered by the School, not by NMAO. Direct refund or billing questions to the School you attend. NMAO may charge the School a platform fee on transactions processed through the Service; this fee is between NMAO and the School and does not affect amounts charged to End Users.
You agree to keep your payment information current. If a recurring payment fails, you authorize NMAO and the School to retry the charge in accordance with the School's payment retry policy and to notify you of the failure via SMS and email.
SMS / Text Message Communications
When you provide your mobile phone number and opt in to SMS communications—either through a web form, in-person enrollment, or other authorized opt-in method—you consent to receive operational text messages from NMAO on behalf of the School you are affiliated with.
Messages may include, without limitation:
- Class confirmations, reminders, and schedule changes;
- Attendance check-in confirmations and absentee follow-ups;
- Payment receipts, billing reminders, and payment failure notifications;
- Account and membership status updates;
- Belt test, event, and tournament notifications;
- Two-way confirmation prompts (e.g., to confirm or cancel a scheduled session);
- Other operational and customer-care messages directly related to your relationship with the School.
Message frequency varies based on your enrollment activity and the School's communication practices. Message and data rates may apply per your wireless carrier's plan. NMAO and the School are not responsible for messages that are undelivered or delayed due to carrier issues.
To get help, reply HELP to any message or contact support@nmao.us. To stop receiving SMS messages, reply STOP to any message. Opt-out is immediate. You may opt back in at any time by contacting your School.
Email Communications
By providing your email address, you consent to receive transactional and account-related emails from NMAO on behalf of your School. This includes payment receipts, magic link sign-in messages, membership updates, and other communications related to your account and enrollment. You may unsubscribe from non-essential emails via the unsubscribe link included in such messages or by contacting your School. Some transactional emails are essential to your use of the Service and cannot be opted out of while your account remains active.
User Content
You may submit content to the Service, including profile information, photos, attendance records, and other information ("User Content"). You retain ownership of User Content you submit. By submitting User Content, you grant NMAO and the School a non-exclusive, royalty-free, worldwide license to host, store, reproduce, display, and use the User Content solely for the purpose of operating and providing the Service to you and your School.
You represent that you have the right to grant this license for any User Content you submit and that the User Content does not infringe the rights of any third party. NMAO may remove User Content that violates these Terms or applicable law.
Intellectual Property
The NMAO platform, including its software, design, trademarks, logos, and documentation, is owned by NMAO and protected by intellectual property laws. Except for the limited rights expressly granted in these Terms, NMAO reserves all rights. Schools own their own content and data submitted to the platform; End Users own their User Content as described above.
Privacy
Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and share information about you. Please review it carefully.
Termination
You may stop using the Service at any time and request account deletion by contacting your School or support@nmao.us. NMAO may suspend or terminate your access to the Service if you violate these Terms, if your School's subscription ends, or as otherwise required by law. We will use reasonable efforts to notify you of such termination. Provisions of these Terms that by their nature should survive termination shall survive, including intellectual property, disclaimers, limitations of liability, and governing law.
Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. NMAO DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. NMAO IS NOT RESPONSIBLE FOR THE CONDUCT OR PRACTICES OF ANY SCHOOL OR FOR ANY INJURY, LOSS, OR DAMAGE ARISING OUT OF YOUR PARTICIPATION IN ACTIVITIES AT A SCHOOL.
Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, NMAO AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE. NMAO'S TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) ONE HUNDRED DOLLARS (USD $100), OR (B) THE AMOUNTS YOU PAID TO NMAO (NOT TO YOUR SCHOOL) IN THE TWELVE MONTHS PRECEDING THE CLAIM.
Indemnification
You agree to indemnify, defend, and hold harmless NMAO, its officers, directors, employees, and affiliates from any claims, damages, losses, liabilities, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, your User Content, or your violation of any rights of a third party.
Governing Law and Disputes
These Terms are governed by the laws of the State of New York, without regard to its conflict of laws principles. Any dispute arising under these Terms shall be resolved exclusively in the state or federal courts located in Nassau County, New York, and you consent to the jurisdiction of such courts.
Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will notify you via email or through the Service and update the "Last updated" date at the top of this page. Your continued use of the Service after such changes constitutes acceptance of the updated Terms.
